Detailed narrative
Strategic Merger with Century Financial
Bank7 Corp. is proceeding with its pending merger with Century Financial in New Mexico, which is expected to close on November 1. Management views this as a transformational transaction, highlighting Century's strong deposit and banking franchise, particularly in Santa Fe. The merger is a result of disciplined and patient capital allocation, aiming to enhance the company's metrics and expand its presence.
Loan Growth and Pipeline Strength
The company reported very strong loan growth in the quarter, successfully overcoming substantial unscheduled paydowns totaling over $130 million. This performance is attributed to a high-functioning loan team and a robust loan pipeline. Management expects continued mid-single-digit to low double-digit company-wide loan growth, driven by strong economies in their operating regions of Texas and Oklahoma.
Deposit Strategy and Liquidity Management
Deposits increased significantly during the quarter, contributing to higher deposit balances and excess liquidity. This conservative approach was taken in anticipation of known loan fundings and the upcoming Century merger, which will bring a good source of cheap core funding. The company plans to methodically deploy the cash generated from selling Century's bonds, which could be accretive to NIM.
Post-Merger Integration and Efficiency
Bank7 aims for rapid integration of Century Financial, with 75% to 80% of cost savings expected immediately in the first quarter post-merger, and the remainder by the end of the second quarter. While the efficiency ratio may initially increase by a couple hundred basis points, the long-term goal is to operate non-interest expense at or below current levels, targeting a ratio well south of 2%.
The system conversion is slated for July, which will be a key milestone for full efficiency realization.
Loan Portfolio Management and Competitive Landscape
The company maintains discipline in loan pricing and balance sheet management to sustain its strong NIM. While Century had a more aggressive use of loan participations, Bank7 intends to exit these as they mature, providing additional funding. The competitive environment in their markets remains consistent, with many banks actively lending, requiring strong relationship banking to win deals.
