Detailed Narrative
Blue Foundry Acquisition & Integration
Fulton Financial successfully completed the acquisition of Blue Foundry Bank on April 1, with the subsequent merger and integration finalized on July 11. This strategic move expands Fulton's presence in Northern New Jersey, enhancing its community banking model and increasing its ability to serve customers in an attractive and growing market. The company believes this combination creates meaningful opportunities for growth and long-term value creation, with the integration process proceeding smoothly and as expected.
Strong Profitability & Capital Position
The second quarter saw record high profitability, with operating net income available to common shareholders reaching $115.9 million, or $0.60 per diluted share. Operating return on average tangible common equity improved to 15.71%, and operating return on average assets increased to 1.39%. The company's capital position further strengthened, with the Common Equity Tier 1 ratio rising to approximately 12.1% and tangible book value per share growing 13% linked quarter annualized.
Balance Sheet Growth and Dynamics
Ending loans totaled $25.9 billion, an increase of $1.7 billion from the prior quarter, with approximately $1.6 billion of this increase attributable to the Blue Foundry acquisition. Organic loan growth was $103 million, primarily driven by consumer-related lending, while commercial loan balances saw a modest decline. Deposits increased $1.5 billion to $28.3 billion, largely due to the Blue Foundry transaction, with organic deposit trends aligning with seasonal expectations.
Net Interest Margin Expansion and Drivers
Net interest income increased by $22.2 million, or approximately 8% linked quarter, to $284.3 million, with Blue Foundry contributing $17.5 million. The net interest margin expanded to 3.6%, up 2 basis points from the first quarter and 13 basis points year-over-year. This expansion was supported by $5.2 million of purchase accounting accretion from Blue Foundry loans and $9.9 million from the Republic acquisition, demonstrating effective management of earning asset yields and funding costs.
Credit Quality Remains Sound
Fulton's credit performance remains solid, with overall asset quality metrics favorable and generally consistent with expectations. Provision expense totaled $4.9 million, a decrease from $14.4 million in the prior quarter. The allowance for credit losses on loans stood at $382.6 million, representing 1.48% of total loans, including a $31 million initial allowance for Blue Foundry loans. While annualized net charge-offs increased to 0.34%, management attributed this to timing rather than new underlying issues.
Diversified Fee Income Growth
Noninterest income increased to $79.3 million, up $9.5 million from the first quarter. This growth was primarily driven by a $7.3 million increase in income from equity method investments, which included a $6.9 million gain from an investment sold. Mortgage banking revenue also improved by $1 million due to stronger production. Commercial fee income increased 9% and consumer fee income increased 8%, contributing to revenue diversification, with wealth management assets under management and administration reaching a record $18.4 billion.
