Deals & partnerships

AI-related acquisition Acquisition of a company providing orchestration capabilities for AI and technology.

The acquisition was small and not material enough for public disclosure, but it is expected to help Fastenal grow faster on the technology side by enhancing its AI and technology orchestration capabilities.

Capital programs

Full-year 2026 net capital spending program underway $310 million to $330 million

Benefit:hub and facility capacity, automation, FMI equipment, information technology, and transportation assets

The program includes investments to support future growth and operational efficiency.

Risks & headwinds

Customer mix impact on gross margin Q3 FY26

approximately 50 basis points headwind

Mitigation:This is a strategic outcome of growing with larger customers, which supports attractive operating margins and incremental operating profit despite lower gross margins.

Price/cost headwind on gross margin Q3 FY26

approximately 30 basis points headwind

Mitigation:The company remains focused on disciplined pricing and aims to return to neutrality. Sequential improvement was noted in Q3.

Timing-related gross margin benefits not continuing Q4 FY26 and beyond

20 basis points of Q3 gross margin benefit

Mitigation:Management explicitly stated these benefits (from direct sourcing, supplier rebates, tariff refunds) should not be assumed to continue at the same underlying run rate.

Fuel price inflation Ongoing

Real impact, significant versus last year

Mitigation:The company's captive fleet and ability to choose its own routes structurally mitigate a lot of the impacts, and price execution helps offset inflation.

What to watch in Q4 FY26

Price/cost neutrality

Q1 FY27
Current Approximately 30 bps headwind to gross margin (Q3 FY26)
Target Neutrality

Why it matters

Achieving neutrality will remove a significant gross margin headwind and improve overall profitability.

Yes, you're exactly right. It's a moving target. But I wouldn't dispute, our goal is as quickly as possible as it always has been. And fortunately, we are making progress. But I think the way you articulated it, Ryan, feels very reasonable to me.

Q&A highlights

Could you define the 20 bps of timing benefits in gross margin, and is it possible the 30 bps price/cost gap widens in Q4 if fuel prices remain high?

Max Tunnicliff clarified that half of the 20 bps timing benefit was from immaterial tariff refunds (not expected in Q4) and the other half from a catch-up on volume rebates. He expressed confidence that price execution and the captive fleet would prevent the price/cost gap from widening in Q4, despite potential fuel cost impacts.

“First of all, just candidly, part of that and roughly half of that was tariff refunds very immaterial, but we don't see that coming through in any material level in Q4. So first of all, the amount of 10 bps in that regard is quite small. And second, just because of the phasing and the type of IEEPA tariffs we paid and the sequence of receiving those, that's going to be probably somewhere in the early part of next year before we see that back in our run rate.”

Detailed narrative

Sales Performance and Market Share Gains

Fastenal reported a robust 15.5% increase in net sales to $2.46 billion, significantly outpacing the growth rates in the industrial markets it serves, indicating clear market share gains. This performance was primarily driven by new customer wins, increased share of spending with existing customers, and improving industrial activity.

The company's key account strategy, focusing on larger customers, proved successful, with contract customers now representing over 76% of sales and their daily sales growing 18.8%.

Digital Transformation and Efficiency

The company's digital footprint continues to expand, with digital sales comprising 61.4% of total sales and growing approximately 16% on a daily basis. Fastenal signed approximately 7,500 weighted FMI devices in the quarter, averaging 117 per day, and its installed base surpassed 143,000 units, up 7%.

Sales through FASTBin and FASTVend grew approximately 18%, highlighting the benefits of technology-enabled replenishment in improving accuracy, reducing manual work, and strengthening customer relationships.

Operating Margin Expansion

Fastenal successfully converted strong sales growth into higher operating margins, which increased by 90 basis points to 21.5%. This expansion was primarily due to 130 basis points of SG&A leverage, which more than offset a 40 basis point decline in gross margin.

The company demonstrated its ability to scale effectively and efficiently by leveraging its infrastructure, technology, and digital capabilities while continuing to invest for future growth.

Gross Margin Dynamics

Gross margin for the quarter was approximately 45%, down 40 basis points year-over-year. The decline was mainly attributed to a 50 basis point headwind from customer mix, reflecting the strategic growth with larger customers who typically have lower gross margins but higher volumes.

Additionally, price/cost contributed a 30 basis point headwind, though this marked a second consecutive quarter of sequential improvement. Favorable items, including direct sourcing savings, supplier rebates, and tariff refunds, added approximately 40 basis points to gross margin, with 20 basis points of this being timing-related.

SG&A Efficiency and Headcount Management

SG&A expenses showed significant leverage, improving by 130 basis points as a percentage of sales. Employee costs specifically improved by 90 basis points, despite total full-time equivalent headcount increasing by less than 1%. This efficiency is a result of productivity gains, role specialization, and the benefits of technology and automation, allowing the company to grow without a proportional increase in labor.

Occupancy costs also improved by approximately 50 basis points due to higher sales spread across the existing network.

Capital Allocation and Returns

The company generated strong cash flow, with operating cash flow at approximately $422 million (105% of net income) and free cash flow at approximately $350 million (87% of net income). Return on invested capital (ROIC) increased 230 basis points to 32.5% on a trailing 12-month basis, well above its 10-year average.

Fastenal returned $328 million to shareholders during the quarter, comprising $298 million in dividends and $30 million in share repurchases, representing nearly 82% of net income.

Data Center Demand and Innovation

Data centers emerged as a strong growth opportunity, contributing 4-5 percentage points to the company's overall growth. Fastenal is servicing this demand through existing customer relationships, particularly with construction contractors and manufacturers involved in the build-out. The company has innovated with 'pods' – on-site solutions that allow it to be as close to the customer as possible, helping to meet the rapid and overwhelming product needs of these high-demand customers.
