Detailed narrative
Agentic AI Innovation
Thomson Reuters is heavily investing in agentic AI, which uses advanced reasoning models, tool access, and adaptability to complete complex multistep assignments. This approach leverages the company's proprietary content, workflow tools, and extensive domain expertise from over 2,500 subject matter experts, positioning it uniquely to deliver professional-grade AI solutions.
Initial customer feedback on these new offerings is encouraging, with further updates expected throughout 2025 and beyond.
New Product Launches in Tax & Accounting
The company launched CoCounsel for tax, audit, and accounting in June, an agentic AI platform automating tasks like client file review and compliance checks, leveraging authoritative Checkpoint content. This was followed by Ready to Review, an agentic AI-powered tax preparation solution currently in beta with a commercial launch scheduled for Q4, and Ready to Advise, an agentic AI-powered tax planning advisory solution already in market.
These solutions aim to eliminate manual work, increase efficiency, and enable accountants to redirect time to higher-value, revenue-generating advisory work.
New Product Launches in Legal
Thomson Reuters introduced CoCounsel Legal, a next-generation AI offering that unifies Westlaw, Practical Law, CoCounsel Core, and CoCounsel Drafting into a single solution. Key innovations include Deep Research, the legal industry's first professional-grade agentic AI research capability built to mimic experienced legal researchers, and agentic-guided workflows.
Over 15 of these guided workflows, expanding litigation and transactional law, are planned for launch in Q3, streamlining complex tasks like merger control filing requirements.
Capital Allocation Strategy
The company maintains a strong balance sheet with 0.5x net leverage and an estimated $10 billion in capital capacity through 2027. Strategic M&A, particularly in areas like Risk, Fraud & Compliance, Indirect Tax, and international expansion, remains the top priority for capital deployment.
Thomson Reuters also plans to continue its dividend growth, having achieved 4 consecutive years of 10% increases, and may consider share buybacks of $400 million to $500 million in FY25 to meet its commitment of returning 75% of free cash flow to shareholders.
Customer Adoption of AI
Management notes broad interest in AI offerings across all customer segments, from large enterprises to sole proprietors, in both Legal and Tax & Accounting. While 20-30% of law firms are aggressively adopting AI for differentiation, the majority are in earlier stages of adoption, driven by the need to provide talent with the best tools.
The Tax & Accounting sector, facing acute talent shortages, shows particularly high interest and potential uptake for AI solutions that address fundamental efficiency challenges.
Margin Drivers and Outlook
Q2 adjusted EBITDA margin benefited from strong operating leverage, favorable revenue mix, and timing of📎 expenses. However, Q3 margins are expected to be lower (approximately 36%) due to normal seasonality in Tax & Accounting, the reversal of Q2 expense timing benefits (including SafeSend integration costs), and a tough comparable at Reuters News due to one-time📎 GenAI revenue in Q3 2024.
Despite these factors, management remains confident in achieving the full-year 39% adjusted EBITDA margin guidance.
